Personal
Liability Related to Sarbanes-Oxley Sub-Certifications |
|
Sarbanes-Oxley requires that CEOs and CFOs sign an official certification as to the accuracy of financial statements. In some cases, others in the financial information supply chain have been asked to certify, as well, in a process referred to as "sub-certification". The following resources offer insight into the process and possible personal liability related to sub-certifying.
- Sub-certification Memo
Memo from Bryan Cave LLC regarding potential personal liability as it is related to certifying financials secondary to Sarbanes-Oxley compliance.
